Code of Business Conduct & Ethics

1. Overview: CriptoSpace is committed to maintaining the highest standards of legal, honest, and ethical business conduct. This Code of Business Conduct & Ethics (the "Code") applies to all employees, officers, consultants, agents, representatives, independent contractors, and members of the Board of Directors ("Company Members"). The Code sets forth our expectations for conducting business in a manner consistent with our values and in compliance with applicable laws and regulations.The responsibility for overseeing adherence to this Code rests with the Chief Legal Officer (CLO) or their designee. All Company Members are expected to familiarize themselves with this Code and comply with it in their daily activities.

2. Applicability:
Compliance with this Code is mandatory for all Company Members. In addition to this Code, Company Members must also adhere to other relevant policies and procedures of the Company, which can be accessed through the Company intranet.

4. Fair Dealing
CriptoSpace is committed to fair and honest dealings with customers, partners, suppliers, and competitors. Company Members are prohibited from engaging in bribery, accepting or giving improper payments, and must ensure that all communications and agreements are clear, truthful, and in accordance with our ethical standards.
5. Conflicts of Interest
All Company Members must avoid situations where their personal interests conflict, or appear to conflict, with the interests of CriptoSpace. This includes avoiding inappropriate use of company assets, relationships with suppliers or competitors that could compromise impartiality, and personal relationships that may impact business decisions.

6. Confidentiality and Corporate Assets
Company Members are entrusted with confidential information that must be protected at all times. This includes proprietary information, customer data, and financial information. Misuse of this information for personal gain is strictly prohibited.
7. Financial Integrity and Business Practices
CriptoSpace is committed to accurate financial reporting and responsible business practices. All financial transactions must be authorized, recorded accurately, and conducted in compliance with the Company’s internal controls. Any suspected fraud or financial misconduct must be reported immediately.
8. Compliance with Laws and Regulations
CriptoSpace operates in a highly regulated environment and is committed to complying with all applicable laws and regulations. Company Members are responsible for understanding the legal requirements relevant to their roles and ensuring that their actions align with these requirements.
9. Insider Trading
Company Members must not trade in securities or digital assets based on material nonpublic information obtained through their work at CriptoSpace. All trades must comply with applicable insider trading laws and CriptoSpace's internal policies.
10. Reporting Violations
Company Members are encouraged to report any violations of this Code or other policies without fear of retaliation. Reports can be made through the designated channels, and all concerns will be investigated promptly and thoroughly.
11. Enforcement and Disciplinary Action
Violations of this Code may result in disciplinary action, up to and including termination. In some cases, legal action may also be taken against individuals who engage in unlawful conduct.
12. Amendments and Waivers
This Code may be amended by the Board of Directors at any time. Waivers of the Code may only be granted by the Board and will be disclosed as required by law.
